These Terms and Conditions ("Terms") govern access to and use of the Matchy mobile application, web platform, dashboards, APIs, and associated services (collectively, the "Platform").
The Platform is operated by Matchy, with technology, infrastructure, and compliance services provided by SkyL4rk and affiliated service providers ("the Company", "we", "us", or "our").
By accessing, registering, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any incorporated policies, addenda, or notices.
If you do not agree, you must not use the Platform.

In the event of a conflict, these Terms and Conditions shall prevail unless expressly stated otherwise.

Matchy is a digital engagement and matching platform intended to facilitate introductions, communications, and workflow interactions between buyers, sellers, and property-related professionals.
Matchy:
All decisions, negotiations, representations, and transactions remain solely between users.
The Platform supports multiple user roles, including but not limited to:
Access levels, features, and pricing vary by role and subscription tier. Matchy reserves the right to modify role permissions and tier structures at any time.
Users must:
You are responsible for all activity conducted under your account, whether authorised or not.
Matchy is not liable for losses arising from compromised credentials, user negligence, or unauthorised access.
Certain Platform features, access tiers, and services require a paid subscription or service fee.
Subscriptions and service fees are issued via formal communication (including email invoice or dashboard notification) and are payable through the Matchy web dashboard or authorised payment interface.
Professional services booked through the Platform (including photography or related services) may also be invoiced and activated upon confirmed payment via the dashboard. Matchy facilitates coordination only and does not act as the service provider.
Failure to settle fees when due may result in restricted access, suspension, or termination.
Where a bona fide dispute, commercial reconciliation, or pre-sale negotiation involving Matchy, its partners, or platform usage is formally acknowledged:
After the pause, subscriptions automatically resume unless terminated in writing.
Users are solely responsible for:
Matchy does not verify, validate, or warrant user-provided content unless explicitly stated.
False, misleading, or unlawful content may result in immediate suspension or termination.
The Platform may integrate third-party services, including identity verification, compliance, fraud prevention, and data enrichment services, such as Verilink ("Third-Party Services").

Users acknowledge that:
All intellectual property rights in the Platform, including software, code, designs, workflows, algorithms, trademarks, and branding, remain the exclusive property of Matchy and/or SkyL4rk.
No rights are granted except those expressly stated.
Reverse engineering, scraping, copying, or unauthorised use is strictly prohibited.
Users may not:
Violations may result in immediate termination and legal action.
Personal data is processed in accordance with:
Users remain responsible as data controllers for data they submit.
Personal data is collected, processed, and stored in accordance with the Matchy Privacy Policy and Data Processing Addendum (DPA), which form an integral part of these Terms.
By using the Platform, you acknowledge that you have reviewed and accepted the Privacy Policy and DPA, including the use of authorised sub-processors and third-party services.
Matchy may suspend or terminate access:

These Terms are governed by the laws of the applicable operating jurisdiction. Disputes shall be resolved exclusively in the competent courts thereof, unless otherwise agreed in writing.
These Terms, together with referenced policies and addenda, constitute the entire agreement governing use of the Platform and supersede all prior agreements or understandings.

Electronic communications sent to the above addresses shall be deemed received on the date of transmission.
You consent to receive all communications, notices, disclosures, and agreements electronically, including via the Platform, email, or dashboard notifications.
Such communications satisfy any legal requirement that communications be in writing.
